The Secretary of State encourages business owners to take advantage of filing their company’s annual notice through the State’s online portal at https://onestop.wv.gov.
Online filing saves time and provides immediate and accurate integration of customers’ updates into the Secretary of State’s database. You also receive an electronic confirmation when any business filing is approved by our office.
Annual Notice required to be filed annually for all active West Virginia LLP's any changes in the registration Statement.
Notice requests update of partners authorized to sign filings, addresses and agent for service of process.
The Annual Report requires update managers or members authorized to sign filings, addresses, agent of process, and other important information deemed necessary by the Secretary of State.
Administrative dissolution or revocation notice may be mailed for LLPs that fail to file.
An additional $1.00 online processing fee will apply to all online filings.
An LLP formed under the laws of another state or country will continue its authority to do business in West Virginia from the date the filing is accepted for two years, at which time it may re-register to continue its authority in the state.
No Annual Notice is required.
If the foreign LLP wishes to continue its authority in the state, at the time of its two year expiration date, the foreign LLP must re-register by filing the Statement of Registration application (Form LLP-1).
