Amendments

When a business changes its structure, business activity (purpose) or business name, it must file an amendment.

Out-of-state (foreign) entities are required to provide a certified copy of the amendment filing approved by its domestic state of original formation. This office will reject any foreign amendment filing received without the certified copy of the amendment from the home state.

Corrections

When a domestic or foreign corporation or limited liability company needs to make a correction to a statement filed with the Secretary of State due to an error on the part of the filer, it may file a correction document to correct the error. All other entity types needing to correct an error in a statement must file an amendment for their entity type as stated in the Amendments section above.
