Annual Report Filing Required
The state of West Virginia requires most company types to file an annual report to keep their company record updated. Failure to file by the June 30 deadline may result in monetary penalties as well as administrative dissolution or revocation.
The Secretary of State encourages business owners to take advantage of filing their company's annual report through the state's West Virginia One Stop Business Portal. Online filing saves time and provides immediate and accurate integration of customers' updates into the Secretary of State's database. You will also receive an electronic confirmation when any business filing is approved by our office.
WV Code §59-1-2a requires organizations registered through the West Virginia Secretary of State to file an annual report, and pay the annual report $25.00 filing fee between January 1 and June 30 of each year following the calendar year in which the business was registered with the Office of the Secretary of State.
If you or your organization is approved by West Virginia DHHR to conduct business under the Medical Cannabis Act, you must submit all required documents in hard-copy format via U.S. Mail to: WV One Stop Business Center – 13 Kanawha Blvd. W. Suite 201, Charleston, WV 25302, or in-person at one of the Secretary of State's Office locations in either Charleston, Clarksburg or Martinsburg. Payment for fees may only be made via check.
Please note that any organization approved for operation under the Medical Cannabis Act is currently prohibited from utilizing any online document filing or online payment options due to certain federal restrictions on the State's banking systems.
