 Secretary Warner Reminds Businesses to File their Annual Reports

CHARLESTON, W.Va. - Secretary of State Mac Warner is encouraging businesses and non-profits doing business in West Virginia to file their annual reports before June 30. Annual reports are important to keep company records updated.

"With just over two months left until they're due, I strongly encourage businesses to file their reports in a timely manner," Warner said. "Filing early will save both time and money and helps keep business information current."

Failure to file by the due date may result in monetary penalties as well as administrative dissolution or revocation. The fee for filing by the deadline is $25. With late fees added after July 1, the filing fee goes up to $75 for profits and $50 for non-profits.

Reports are due from all active corporations, including nonprofits, limited partnerships, voluntary associations, and business trusts formed on or before December 31 of the previous year which have not applied for dissolution or withdrawal. First notices were sent in January to all registered WV businesses, and second notices are now being sent via email to those businesses that have not yet renewed.

To file an annual report online, go to On the left-hand side click "File Annual Reports" for a drop-down menu and to choose your filing. You don't need an account to file your annual report online. However, it is encouraged to set up an account to save an in-progress filing and/or view a history of your submitted filings. Setting up an account will also allow you to complete other filings as needed.
